Terms & Conditions for the usage of Micrel Medical Devices infusion products tutorials

The objective of this document is to define the terms and conditions of the usage of the tutorial provided by Micrel Medical Devices S.A. (located at 113 Geraka Avenue, 15344, Gerakas, Athens, Greece, Tel:0030-210-6032333, Fax:0030-210-6032335, Email: [email protected], Athens Chamber of Commerce and Industry – General Commercial Reg. No: 004339001000, Competent Authority: National Organisation for Medicines (EOF), VAT No: EL095175910) (hereinafter “Micrel”) to infusion pump Users. Micrel’s infusion pumps are indicated for intravenous intra-arterial, subcutaneous and intraperitoneal, in close proximity to the nerves, into and intraoperative site, epidural space or subarachnoid space infusion or other intended use as identified in the Instructions for Use. These tutorial videos (hereinafter the “Tutorial”). are applicable for Micrel infusion devices including, but not limited to, Rythmic TM Evolution, Mini Rythmic TM Evolution, Rythmic TM Organiser 100, 101, 500, 501, Rythmic TM PN+, Micropump (MP) series, infusion sets etc (hereinafter the “Products”). The Tutorial is strictly addressed to qualified Medical Personnel and to individual patients in connection with the use of the devices for the infusion of medicines to patients.

The Tutorial

Users of the Products can access to a Tutorial regarding the use of these products via a hyperlink/web page operated by MICREL www.micrelmed-elearning.com and access to them is conditional upon the use of a username & password. The information presented is designed to facilitate the use of the Products range products by Clinicians, healthcare professionals and patients. All demonstrations are performed in compliance with the Instructions For Use, however the demonstrations are not intended to replace the Instructions For Use. Viewers of the videos must read carefully the Instructions of Use, before using the devices. The Tutorial is intended to be a visual representation of the infusion pump Products and procedures for their use and as a reference but is not intended as a replacement for product servicing or training, medical advice or diagnosis, nor as advise or recommendation about treatment of any specific medical condition.

Refer to the Instructions For Use for detailed Information. Incorrect pump programming could result in death or injury for the patient.

Following the User’s Registration at www.micrelmed-elearning.com and his/her verification by Micrel as a Micrel infusion pump Product user, the User will be able to access the Tutorial by means of his/her username and password.

The Tutorial shall be provided to Users in view only format. Certain Users of the Tutorial (e.g. Micrel’s distributors, agents, selected appropriate healthcare personnel etc.) shall be able to download the Tutorial strictly for demonstration purposes and not for sharing or dissemination purposes. In cases of download, it is the responsibility of the User to seek the most updated version of the Tutorial and of the Terms & Conditions.

Intellectual Property / License and Restrictions

Product names are trademarks of Micrel Medical Devices S.A. Intellectual property rights to the Tutorial belong to Micrel (all rights reserved). Texts, graphics, pictures and videos of which the Tutorial is made of are property of Micrel. Any reproduction and/or exploitation whether partial or total of any of these texts, graphics, pictures and videos of which the Tutorial is made and/or of the Tutorial, is fully prohibited unless agreed beforehand in writing with Micrel. Micrel reserves its rights to seek appropriate sanctions and remedies in respect of infringements of its rights as provided for under intellectual and industrial property legislation.

You may use the Tutorial solely for your personal education and non-commercial use. This Tutorial may only be viewed by Users having reviewed and agreed with the present Terms and Conditions. The same obligation applies also in cases of group training.

You may not use the Tutorial for any commercial use. “Commercial Use” means charging any fee for a service that includes the Tutorial.

You may not co-brand the Tutorial. “To Co-brand” means to link to the Tutorial and display a logo, trademark, name, or other sign of identification of any party in such a manner reasonably likely to give the impression that such other party has licensed or has the right to use the Tutorial.

You may not frame the Tutorial. ""To frame"" means to have the Tutorial or a portion of it appear on the same screen with another website or a portion of one.

You may not deep-link to the Tutorial. ""To deep-link"" means to link directly to a Tutorial page without going through the home page on which licensed Tutorials are listed.

You may not reproduce, transmit, publish, or distribute the Tutorial or any of its content (graphics, text, and narration) to any third party without the express written consent of Micrel.

Disclaimer

The User of the Tutorial shall take full responsibility, and shall assume all the related consequences of which Micrel cannot be held responsible, without possible legal recourse.

Micrel shall not be held responsible of any damage, of any kind, resulting from the interpretation or the use of the Tutorial.

The Tutorial is for informational purposes only and its content is general information and NOT medical advice. Content is not intended to be a substitute for professional medical advice. Patients should be advised to always seek the advice of doctor or other qualified healthcare provider with any questions regarding a medical condition or medical treatment.

No warranties are made, expressed or implied with regard to the contents of the Tutorial or its applicability to specific patients or circumstances.

The “Introduction Video S1” of the Tutorial should be viewed first before any other video.

Micrel has taken all necessary steps in order to assure that information contained in the Tutorial is correct. Micrel reserves the right to modify, at any time, or upgrade the Tutorial accessible via the hyperlink/website.

Micrel reserves the right to modify these terms & conditions at any time and without notice.

MICREL, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES' RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE. Micrel shall not be liable for direct, indirect, special, incidental or consequential damages arising out of the use or inability to use the contents of the Tutorial, whether based on warranty, tort, contract or any other legal theory.

Access to the Tutorial

The access to the hyperlink/website is out of Micrel’s control subject to potential breakdown and maintenance interventions. Micrel cannot guarantee the availability of the link and or services, the reliability of the transmissions nor the performances in terms of response or quality. Micrel shall not be held responsible in case the access to the link and/or the usage of the services is impossible. No technical assistance for the User whether via telephone or electronic ways will be provided. Micrel can at any time, without notice, stop the access to the hyperlink/website without any legal recourse to compensatory damages.

International Users

Access to this content may not be legal by certain persons or in certain countries. If you access the Tutorial from a place out of Greece, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

Confidentiality and Data Protection

The username & password are for the personal use of the User. Any unauthorized use of the username & password is strictly prohibited. The User undertakes the obligation not to disclose the content of the Tutorial and/or the username and/or password to third parties under no circumstances. Micrel reserves the right to terminate access to the link/website to Users who violate their obligations.

Micrel abides by the Greek and European data protection legislation, does not engage in illegal processing of the Users’ personal data and does not transfer personal data to any third parties and/or countries. Micrel processes the User’s personal data for the purposes of verifying that he/she is a Micrel infusion pump user before allowing him/her to access the Tutorial. The User has the right to be informed about his/her personal data processed by Micrel and can object to the processing and demand Micrel to correct, temporarily non-use, block or erase his/her personal data. For any issues concerning the User’s personal data, the User can contact Micrel at [email protected].

By registering, the User consents with the processing of his/her personal data for the purposes described above. The User can revoke its consent at any time by emailing Micrel at [email protected].

Internet usage rules

The User hereby states that he/she agrees with all the characteristics and limitations of the Internet and acknowledges the fact that data circulating on the Internet are not protected especially against potential diversions. The displaying of Micrel logo inducts a mere presumption of validity. The User shall be the only one responsible for the use of the data that he/she can consult on the Internet via the hyperlink/website. The User hereby acknowledges that Micrel has no way of controlling the usage and diffusion of the Tutorial.

Governing Law & Jurisdiction

The present Terms and Conditions shall be governed by Greek Law and the courts of Athens, Greece will have exclusive jurisdiction on any matter arising herewith.
